These Terms & Conditions govern your use of the website adamsoft.co.uk (“the Site”) and any services provided by Adam IT Web Software (“we”, “us”, “our”), based at 66 Withern Road, NG8 6FJ, Nottingham, UK. By using this Site or engaging our services, you agree to these terms.

1.2 Our Services

Adam IT Web Software provides web design, web software development, SEO, mobile app development, e-commerce development, graphic design, social media management, and digital consultancy services. The specific scope, deliverables, timeline, and cost of any project will be set out separately in a written proposal or quotation agreed between us and the client.

1.3 Quotes, Proposals & Acceptance

  • Quotations are valid for [30 days] from the date issued, unless stated otherwise.
  • A project begins once a proposal has been accepted in writing (including by email) and, where applicable, any agreed deposit has been received.
  • Any changes to the agreed scope of work may affect the price and timeline, and will be confirmed with you before proceeding.

1.4 Payment Terms

  • Payment terms (deposit amount, milestone payments, final balance) will be set out in the project proposal or invoice.
  • Late payments may result in work being paused until payment is received.
  • All prices are in [GBP], and VAT will be added where applicable.

1.5 Client Responsibilities

To deliver a project on time, we rely on the client to:

  • Provide timely feedback, content, and access needed to complete the work
  • Ensure they have the rights to use any content, images, or material they supply to us
  • Review and test deliverables within agreed timeframes

1.6 Intellectual Property

  • Upon full and final payment, ownership of the final deliverables (e.g. website, app, designs) created specifically for the client transfers to the client, unless otherwise agreed in writing.
  • We retain the right to use general knowledge, tools, and reusable code/components developed during a project for other work.
  • We may display completed projects in our portfolio and case studies unless the client requests otherwise in writing.

1.7 Confidentiality

Both parties agree to keep confidential any non-public business information shared during the course of a project, and not to disclose it to third parties without consent, except as required by law.

1.8 Changes & Cancellations

  • Either party may request to cancel a project; any work completed up to that point will be invoiced accordingly.
  • We reserve the right to pause or end a project if payment terms are not met or if we are unable to obtain the information/materials needed to proceed.

1.9 Warranties & Limitation of Liability

  • We aim to deliver high-quality work and will fix any genuine defects in our deliverables reported within a reasonable period after delivery (e.g. [30 days]).
  • We are not liable for issues arising from third-party platforms, hosting providers, plugins, or services outside our direct control.
  • To the fullest extent permitted by law, our liability for any claim relating to our services is limited to the amount paid by the client for the relevant project.

1.10 Third-Party Services

  • Some projects may involve third-party tools, platforms, plugins, or hosting providers (e.g. payment gateways, cloud hosting). Use of these services is subject to the relevant third party’s own terms, and we are not responsible for their availability, pricing, or policy changes.

1.11 Use of the Website
